Terms and Conditions

NIKE wants you to be active, have fun, and join a growing number of NIKE enthusiasts who are running and we have therefore created this event ("The Grid: Run Your City") to encourage that activity.  However, NIKE can't be everywhere you are to make sure you are running safely.  So, to make sure you know that you need to be accountable for your own safety while running, we ask that you take a minute to read this message and terms and conditions set out below.

By registering for The Grid: Run Your City event commencing on 22nd October 2010 (the “GRID”), you agree to be bound by these terms and conditions and any entry instructions, guidance, details and requirements published on www.nikegrid.com (the "Terms and Conditions").  The GRID is partially or wholly sponsored, produced, directed, organised, conducted or paid for by Nike (UK) Limited ("NIKE") and by agreeing to the Terms and Conditions you are entering into an agreement with NIKE regarding your participation in the GRID.

In order to take part in the GRID, you must register on line at www.nikegrid.com. Registration occurs via Facebook Connect and your Facebook user profile picture from time to time will be used and displayed in your profile on www.nikegrid.com. You will be asked to enter profile information that includes your name, address, email address, date of birth, SMS number (optional) and whether you agree to be contacted by NIKE in the future with running related communications (optional). Upon registration you will receive email instructions on how to take part and a code (a "Pin Code").

You must be aged 18 or over on 22nd October 2010 and resident in the United Kingdom to take part in the GRID.

You agree that the information submitted in your online entry form and any other information supplied by you to NIKE or any other third party in relation to the GRID is true and accurate.

You agree that you will not disclose your Pin Code to or share your Pin Code with any third party.

NIKE and other associated parties may photograph, film or record the voice of participants taking part in the GRID and at any associated activities or events for advertising, promotional or other commercial purposes.  You hereby consent and agree that photographs, film, video and voice recordings may be taken and made of you whilst participating in the GRID and associated activities or events.

You irrevocably grant NIKE, its group companies and third party commercial partners the right indefinitely and throughout the world, without any expectation of compensation, further permissions or notifications to: (i) use your photograph, video or film portrayal, image, likeness, voice and any other means which identify you (including, without limitation, any images or photographs obtained via Facebook as a result of your registration for the GRID on Facebook Connect); and (ii) use any biographical or other information or data relating to you (including statistics regarding your participation in the GRID) in any media, including but not limited to, print, audio, visual, audio-visual, virtual media the internet, mobile telephony and so-called "3-G" technologies, CD-Rom or DVDs, television, product catalogues and brochures, point-of-purchase videos and displays, and any other printed or written material in connection therewith, for the purpose of advertising, promoting, marketing, and selling NIKE's products, promoting the GRID or any further promotion or competition run by NIKE or other associated parties or promoting NIKE's brand and activities.

You agree and consent to NIKE using your personal details provided in your online registration form for the following purposes:

• to record your registration details;
• to keep records of your personal performance times, placings and progress, details of which will be posted on www.nikegrid.com;
• to send you information by email and/or SMS relating to the GRID; and
• if you have indicated that you agree by ticking the box in the registration form, other NIKE running events and further news and promotional information.

Your user name (as provided on your online registration form) and your Facebook profile picture used in your GRID profile via Facebook, and data relating to your performance and participation in the GRID may be posted/displayed on various websites, digital bill boards, Facebook, and phone boxes to mark your progress or achievements during your participation in the GRID.

All information relating to you collected by or on behalf of NIKE from which you can be identified will be recorded electronically and will be used at all times in accordance with the Data Protection Act 1998.  NIKE will not disclose any such information to third parties, save as expressly stated under the Terms and Conditions.  You are entitled to withdraw your consent to categories of e-mail and/or SMS communications from NIKE and can do so at any time by either:

• amending your preferences for SMS/email/other alerts by clicking on "edit my settings" at www.nikegrid.com; or
• by writing to NIKE (UK) Limited, Camberwell Way, Doxford International Technology Park, Sunderland, Tyne and Wear, SR3 3XN.

You can stop playing the GRID whenever you want. If you decide that you want your data and player details removed completely from www.nikegrid.com, please email grid@nike.com or write to NIKE (UK) Limited, Camberwell Way, Doxford International Technology Park, Sunderland, Tyne and Wear, SR3 3XN.

You acknowledge that an active participant profile and valid e-mail address will be required at all times in order for you to receive important information regarding the GRID and you hereby consent to receiving such information.

Glitch Games

By participating in the GRID you will have the opportunity to win points, badges and prizes (“Prizes”). Winners will be selected on the basis of speed, attrition, completion of specific routes and participation in spontaneous mini-games (“Glitch Games”). Details of all Glitch Games and Prizes to be won will be announced on the GRID Facebook page, on www.nikegrid.com and by SMS update (if opted to receive) at various points throughout the duration of the GRID.

NIKE shall notify winners using their contact details as provided in their registration form (a “Notification”). If a Notification is returned undeliverable or a winner does not respond to a Notification within the period specified in the Notification, NIKE reserves the right to select an alternative winner to receive a Prize. Decisions of NIKE are final and binding in all respects and by participating in the GRID you agree to be bound by NIKE’s decisions. No correspondence will be entered into other than with winners. The names of the winners will be available on request by sending a stamped addressed envelope to NIKE after the GRID has concluded.

Prizes are not transferable and must be accepted as awarded. Prizes are determined at NIKE’s sole discretion. No cash or other substitution may be made, except by NIKE, who reserves the right to substitute a Prize with another prize of equal value if the Prize is not available for any reason as determined by NIKE in its sole discretion. Unless otherwise agreed by NIKE, no costs or expenses in relation to the Glitch Games or the Prize will be paid.

Employees of NIKE, its subsidiaries and affiliates, or of other companies associated with the promotion of the GRID as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible for Prizes.

You acknowledge and agree that your participation in the GRID involves inherent risks of accidents and injury and that participation in the GRID is at your own risk.  By participating in the GRID, you acknowledge that you have understood, considered and evaluated the nature, scope and extent of the risks involved, and voluntarily and freely chosen to assume these risks. You are responsible for running safely, taking adequate rest breaks and consuming sufficient food/drinks.  Try to avoid running by yourself at night, always carry a mobile phone with you and be especially careful at night time bearing in mind the area in which you are running and any risk to your personal safety.

                                

Except for death or personal injury arising as a result of NIKE’s negligence, NIKE accepts no liability for any injury, loss (including indirect, consequential and pure economic loss), damage, claim, demand, expenses or any other liability of any kind of or to you, your property or any other person directly or indirectly arising out of or in connection with your participation in the GRID.

NIKE will not provide you with any insurance in respect of life, travel, medical or liability, for any illness, accident, injury, loss, or damage for or to either you or any third party that may arise in connection with your participation in the GRID or your attendance at any related event.  If you require insurance of any kind, you must obtain it yourself at your own expense.

NIKE reserves the right at its sole discretion to cancel, suspend, change or shorten or extend the time period of the GRID or the Glitch Games at any time for any reason or to suspend or disqualify any participant in the GRID or the Glitch Games, including where a participant is found to be tampering with the entry process or operation of the GRID or Glitch Games or to be acting in violation of these Terms and Conditions or in an unsportsmanlike or disruptive manner.

You confirm that you will not publish or post to any website or other media operated by NIKE or otherwise related to the GRID, any text, statement, photograph, image or other material which is obscene, blasphemous, defamatory, infringes the intellectual property of other legal rights of any third party or is otherwise unlawful, offensive or inappropriate.  NIKE will have the right to remove any material at its discretion and take appropriate legal action against any person found to be or alleged to be in breach of this term.

You acknowledge and agree that the GRID is in no way sponsored, endorsed or administered by, or associated with Facebook. You understand that you are providing your information to NIKE and not to Facebook. The information you provide will only be used for the purposes set out above in the Terms and Conditions. Facebook shall have no liability in respect of the GRID and each participant and NIKE releases Facebook from any liability whatsoever and howsoever arising in relation to the GRID. You shall comply at all times with the terms of use of Facebook in relation to the GRID and you agree to indemnify and hold harmless NIKE and its officers and employees from any loss, liability, claim or demand, including legal fees, as a result of a breach by you of those terms.

If any provisions of the Terms and Conditions shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

The Terms and Conditions constitute the entire agreement between you and NIKE as to your participation in the GRID and shall supersede any prior agreement or representation in respect thereof.

The Terms and Conditions and any dispute or claim arising out of or in connection with them (including any non-contractual claims or disputes) shall be governed by and construed in accordance with the laws of England and Wales and the parties irrevocably submit to the exclusive jurisdiction of the English courts.
